Exhibit B · Ignition Systems Included Platform
Ignition Systems Professional features, HIPAA-enabled configuration and our BAA, the RootSignal™ clinic setup pre-loaded, help centre, video library and weekly office hours — at no platform fee while you are a RootSignal™ client.
Per-message usage (billed from your prepaid balance at published rates), hands-on build hours (available on the Professional plan), and AI, tracking-pixel and email open-tracking features, which stay off for HIPAA reasons.
You can keep the account, as configured, at the then-advertised monthly rate. Otherwise you have 30 days to export your contacts, conversations, notes and files before the account closes.
The workflows, forms, funnels, calendars, pipelines and configuration are Ignition Systems property and are not transferable to another agency or platform. Your data is yours and can be exported at any time.
Approved by counsel September 7, 2026. This Exhibit B is attached to and forms part of the RootSignal™ Program Agreement between RootSignal LLC, an Idaho limited liability company, 9757 W. Lanktree Gulch Rd., Star, Idaho 83669, together with its affiliate Ignition Systems, LLC, which holds the Platform account (together, “RootSignal™”), and the client named in that agreement (“Client”), dated as of the date of that agreement (the “Agreement”). Capitalized terms not defined here have the meanings in the Agreement.
1.1 “Platform” means the Ignition Systems customer-relationship and patient-communication platform, made available by RootSignal™ through its licensed platform account, including the features listed in Section 3.
1.2 “Client Account” means the Platform sub-account RootSignal™ provisions for Client under this Exhibit.
1.3 “Activation” means Client’s affirmative acceptance of this Exhibit by clicking “Activate” (or equivalent) in the activation link RootSignal™ provides, together with Client’s execution of the BAA Addendum (Section 6). The date of Activation is the “Activation Date.”
1.4 “Launch Period” means the period beginning on the effective date of the Agreement and ending on the date RootSignal™ announces the end of the included-platform offer for new accounts, which RootSignal™ may do at any time by posting notice at myrootsignal.com/terms. The end of the Launch Period does not affect Client’s rights under Section 4 for an account Activated during the Launch Period.
1.5 “Built Assets” means all workflows, automations, snapshots, templates, forms, surveys, funnels, websites, pages, calendars, pipelines, custom fields, custom values, tags, triggers, settings, and configurations existing in or loaded into the Client Account, whether created by RootSignal™, Ignition Systems, Client, or Client’s users, excluding Client Data.
1.6 “Client Data” means the contact records, conversation history, notes, appointment records, uploaded files, and payment records entered into the Client Account by or on behalf of Client or Client’s patients.
1.7 “Usage Charges” means per-unit charges for text messages, multimedia messages, voice minutes, emails, email validations, premium workflow actions, phone numbers, carrier and registration fees, and similar metered items, at the rates published at myrootsignal.com/usage-rates and shown inside the Client Account, as updated under Section 5.
1.8 “Public Rate” means the monthly fee for the Ignition Systems Professional plan as advertised at ignitionsystems.app on the relevant date. “Member Rate” means the discounted monthly fee RootSignal™ offers to current RootSignal™ clients, as advertised by RootSignal™ on the relevant date.
2.1 RootSignal™ will provision the Client Account and load the RootSignal™ clinic configuration promptly after Client registers for the Program. Provisioning alone does not make this Exhibit effective.
2.2 This Exhibit becomes effective on the Activation Date. Until Activation, no part of this Exhibit binds either party, no Usage Charges accrue, no phone number is assigned, no texting registration is filed, and no patient data may be entered into the Client Account.
2.3 Activation is optional. Client may decline or ignore the activation link with no effect on the Agreement.
3.1 Included during the Launch Period at no platform fee, for as long as Client is a current Program client: (a) the Ignition Systems Professional feature set as described at ignitionsystems.app on the Activation Date, including two-way text and email messaging, pipelines, automations, forms and surveys, calendars, reputation management, invoicing and text-to-pay, and unlimited user seats; (b) HIPAA-enabled configuration of the Client Account and the BAA Addendum; (c) the RootSignal™ clinic configuration pre-loaded; and (d) access to the Ignition Systems help centre and video library and to RootSignal™’s weekly office hours.
3.2 Not included: (a) Usage Charges (Section 5); (b) hands-on build, customization, or support hours, which are available on the Ignition Systems Professional plan at the Public Rate or as separately quoted; (c) artificial-intelligence conversation, voice, and content features, tracking pixels and conversion-tracking scripts, and open-tracking on patient email, all of which are disabled for HIPAA reasons and may not be enabled by Client; (d) third-party integrations, marketplace applications, and any connector or automation service that has not executed a business associate agreement with RootSignal™ (Client acknowledges that general-purpose automation connectors such as Zapier do not qualify).
3.3 Support model. RootSignal™ supports the RootSignal™ scan, report, and Program workflows, the HIPAA configuration of the Client Account, and the texting registration described in Section 7. All other use of the Platform is self-serve through the resources in Section 3.1(d). RootSignal™ does not provide platform support by telephone, ticket, or chat except as purchased under Section 3.2(b).
4.1 Grandfathering. If Client Activates during the Launch Period, the platform fee remains $0 for Client’s Initial Term under the Agreement. At renewal of the Agreement, the Client Account continues at the then-current Member Rate unless Client cancels the Client Account in writing before the renewal date.
4.2 Cancellation of the Program. If the Agreement ends for any reason (including cancellation during the 14-day trial), the included platform fee ends the same day. Client may keep the Client Account, as configured, by paying the then-current Public Rate monthly in advance beginning on that day, via the payment link RootSignal™ provides. If Client has not paid within thirty (30) days after the Agreement ends (the “Export Window”), RootSignal™ may deactivate the Client Account. Deactivation ends Client’s access; RootSignal™ retains Client Data for ninety (90) days thereafter and then deletes it in the ordinary course.
4.3 Independent termination. Either party may terminate this Exhibit on thirty (30) days’ written notice without terminating the Agreement. After the Launch Period, either party may terminate the Agreement without terminating a paid Client Account under Section 4.2.
4.4 Trial promise. Client’s cancellation of the Program before the end of day 14 of the trial ends both the Program and this Exhibit with nothing owed, except Usage Charges already incurred under Section 5.
5.1 Usage Charges are billed from a prepaid balance (the “Wallet”) funded by a card Client keeps on file in the Client Account. Client authorizes automatic recharge of the Wallet in the amount shown at Activation ($20 when the balance falls below $5), at any amount Client later selects in the Client Account, and at the increased amounts the Platform applies automatically after repeated recharges.
5.2 Current per-unit rates are published at myrootsignal.com/usage-rates and shown inside the Client Account’s billing settings. RootSignal™ may change rates on thirty (30) days’ notice, and may pass through changes in carrier, registration, and platform costs on the effective date of the underlying change with notice inside the Client Account.
5.3 Usage Charges are non-refundable once incurred. An unused Wallet balance is refundable on written request made within sixty (60) days of deactivation.
6.1 RootSignal™ acts as Client’s business associate with respect to protected health information in the Client Account. Before Activation completes, Client and RootSignal™ execute the Business Associate Agreement Addendum attached as Schedule B-1, which extends the RootSignal™ Business Associate Agreement to the Client Account. RootSignal™ will ensure its hosting provider is bound by a business associate agreement with RootSignal™.
6.2 Client will (a) complete RootSignal™’s messaging-compliance training before text messaging is enabled, (b) ensure that every user of the Client Account is trained and authorized, (c) not include diagnoses, test results, treatment, medication, or other protected health information in text messages, review requests, or review replies, (d) obtain and record patient consent to receive text messages, and (e) not enable, install, or connect any feature or service excluded under Section 3.2(c)–(d).
6.3 Client is responsible for the content its users send and for the acts of its users. RootSignal™ may suspend messaging in the Client Account immediately if it reasonably believes a message or configuration violates HIPAA, the TCPA, carrier rules, or this Exhibit, and will notify Client of the reason.
6.4 Each party will notify the other of a security incident involving Client Data within the time required by the BAA Addendum, and in any event within five (5) business days of discovery.
7.1 U.S. carriers require registration of Client’s business before application-to-person text messages can be delivered. Client will provide accurate business details (legal name exactly as registered with the IRS, EIN, website, and consent language) through the Client Account. RootSignal™ will submit the registration on Client’s behalf and pass through the registration fees as Usage Charges.
7.2 Client acknowledges that approval typically takes one to three weeks, is controlled by third-party registries and carriers, may be delayed or refused for reasons outside RootSignal™’s control, and that text messages cannot be sent until approval. Email automations are not affected.
8.1 Built Assets. As between the parties, RootSignal™ and Ignition Systems own the Built Assets and all intellectual property in the Platform configuration. Client receives a limited, non-exclusive, non-transferable license to use the Built Assets within the Client Account for Client’s own practice during the term of this Exhibit.
8.2 No transfer. The Client Account and the Built Assets are not transferable, assignable, or exportable to any other agency, reseller, account, or platform, whether or not that destination is HIPAA-enabled, and RootSignal™ will not initiate or approve any such transfer. Client will not copy, reproduce, or re-create the Built Assets outside the Client Account, and will not use the Built Assets to build or assist a competing offering.
8.3 Client Data. Client owns Client Data. At any time during the term and during the Export Window, Client may export Client Data in the formats the Platform provides (including contacts, conversation history, notes, and files). RootSignal™ will provide reasonable assistance with export at its then-current hourly rate.
8.4 Return and destruction. Following the Export Window and any retention period in Section 4.2, RootSignal™ will destroy Client Data in accordance with the BAA Addendum, except as retention is required by law.
9.1 The Platform is hosted by a third-party provider. RootSignal™ does not control, and is not liable for, outages, feature changes, or pricing changes of the provider, and will pass through material changes to Client with notice. Service credits, if any, are limited to those RootSignal™ actually receives from the provider that are attributable to the Client Account.
9.2 If RootSignal™’s platform account is terminated or suspended by the provider, RootSignal™ will notify Client promptly and will make Client Data available for export for at least fourteen (14) days.
10.1 The Agreement controls the Program’s fees, term, and cancellation. This Exhibit controls the Client Account. In a conflict concerning the Client Account, this Exhibit controls.
10.2 Sections 2, 4, 6, 7, 9, 12, 13, 14, and 15 of the Agreement’s incorporated Terms (HIPAA, confidentiality, disclaimer, limitation of liability, indemnification, governing law) apply to this Exhibit as if set out here. RootSignal™’s aggregate liability under this Exhibit will not exceed the platform fees and Usage Charges paid by Client under this Exhibit in the twelve (12) months before the claim.
10.3 RootSignal™ may update this Exhibit for new Activations at any time by posting a new version. Changes apply to an existing Client Account only at the next renewal under Section 4.1, with at least thirty (30) days’ notice.
By clicking “Activate,” Client confirms that it has read this Exhibit B and the BAA Addendum, that the person clicking is authorized to bind Client, and that this Exhibit is effective as of the Activation Date. The activation record (name, email address, timestamp, and IP address) is stored with Client’s account.
